Compare what private fund offering memoranda actually disclose — the exemption relied on, who may invest, the fees, the liquidity terms, the risk factors, and the tax and ERISA treatment. Each cell quotes the memorandum's own words.

  • Four offering documents so far. This is a starter set, not a market sample: nothing here supports a statement about what is usual.
  • The columns run from 2005 to 2026. The 2005 memorandum reflects the disclosure practice of its time — it has no cybersecurity or business-continuity risk factor, for instance — and a gap there is a difference in vintage, not a deficiency.
  • The 2005 memorandum reached the public only because it was filed as an exhibit in litigation. A corpus assembled from court files is selected by disputes, not by market share, so it over-represents funds that ended up in court.
  • One column is not a private placement memorandum. It is a Form 10 registration statement that a private fund filed with the SEC to register its units under the Exchange Act. Its body carries the fund's offering disclosure, but it follows the Form 10 items rather than a memorandum's layout, so it has no summary-of-terms section. Another column is a private placement memorandum that a privately offered fund filed with the SEC as part of its registration under the Investment Company Act; its units are still sold only in a private placement.
  • How to read an empty cell depends on the column. For the two memoranda, an empty cell means the row was read and the memorandum does not address it, except that seven rows (hurdle rate, high-water mark, lock-up period, sponsor capital commitment, class or series structure, principal biographies, key-person risk) have not been read against those two. The two documents filed with the SEC were tagged by a model-assisted pass whose tags were reviewed one by one and then searched by phrase for rows the pass missed; an empty cell there means no passage was found, not that the document is confirmed silent.
