Compare how the partnership agreements of private investment funds, filed as SEC exhibits, set the fee, the manager's profit share, when money can be taken out, and who can change the deal. Each cell quotes the filed text.
- Eight agreements so far. They are the ones that happened to be filed with the SEC, not a market sample: nothing here supports a statement about what is usual.
- No column is a recommended form. Each is an agreement one fund filed; the filings run from 2005 to 2026 and include offshore and onshore funds, a registered master fund and evergreen platform funds, and they disagree on many economic terms.
- How to read an empty cell depends on the column. For the two agreements registered first, an empty cell means the row was read and the agreement does not address it, except that six rows (return hurdle, withdrawal cap per period, transfer consent, admission of new investors, expense cap, arbitration) have not been read against those two. The six agreements added later were tagged by a model-assisted pass whose tags were then reviewed one by one; an empty cell there means that pass found no passage, not that the agreement is confirmed silent.
- The columns are governed by different law: Cayman Islands, Delaware and New Jersey. Compare commercial drafting only; do not treat a provision under one law as authority for another, or combine the columns into a jurisdiction-neutral rule.
